End User License Agreement (EULA)

This End User License Agreement (“Agreement” or “EULA”) is a legally binding agreement between you (“User” or “Member”) and Club Mobile LLC DBA Win Mobile (“Win Mobile,” “WINMO,” “we,” “us,” or “our”).

By purchasing, accessing, or using WINMO, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

1. License Grant (Limited – No Ownership)

Subject to your compliance with this Agreement, Win Mobile grants you a limited, non-exclusive, non-transferable, revocable license to access and use WINMO digital content for personal, non-commercial use only.

You acknowledge that:

• This is a license to access digital content, not a sale of any product
• No ownership rights are transferred to you
• All content, materials, data, and intellectual property remain the exclusive property of Win Mobile and its licensors
• The scope and type of digital content accessible through your membership may change at any time at Win Mobile’s sole discretion

2. Strict License Restrictions (No Sharing or Resale)

You may not, directly or indirectly:

• Copy, reproduce, distribute, or resell any WINMO digital content
• Share login credentials or provide access to any third party
• Record, scrape, screenshot, rebroadcast, or capture content for redistribution
• Publish or display content publicly or commercially
• Misrepresent Win Mobile or its services in any way
• Use WINMO digital content to operate competing services or products
• Attempt to reverse engineer, exploit, or misuse any part of the service

Any unauthorized use constitutes a material breach of this Agreement and may result in immediate termination and legal action.

3. Digital Content Delivery & Final Sale

Win Mobile provides immediate access to digital content and membership benefits upon purchase.

By completing your purchase, you acknowledge that:

• Access is delivered instantly upon purchase
• The license is deemed used and consumed immediately
• All purchases are final and non-refundable

No refunds, returns, exchanges, credits, or adjustments will be provided under any circumstances, including:

• Subscription fees
• Partial billing periods
• Unused membership time
• Accidental or unintended purchases
• Failure to cancel prior to renewal
• Dissatisfaction with content or results

4. Content Disclaimer (No Reliance / No Guarantees)

Win Mobile provides digital content for entertainment and informational purposes only.

You expressly acknowledge that:

• All content is general, informational, and opinion-based
• No content is guaranteed, predictive, or warrantied as accurate
• Content is not intended to be relied upon for financial, wagering, or any other decisions
• You assume all risk associated with any decisions you make in connection with content accessed through WINMO

Win Mobile makes no representations or warranties of any kind — express or implied — regarding accuracy, outcomes, performance, or results. Fees are charged solely for access to licensed digital content, not for any specific outcome or performance.

5. Release of Claims

To the fullest extent permitted by applicable law, you hereby release, discharge, and waive any and all claims, demands, actions, causes of action, liabilities, losses, damages, costs, and expenses of any kind — whether known or unknown, suspected or unsuspected — arising out of or in any way related to your use of WINMO, any digital content accessed through the membership, any mobile service benefits received, or any decisions made in connection with content accessed through the service.

This release extends to Club Mobile LLC DBA Win Mobile, its members, managers, officers, employees, agents, affiliates, successors, and assigns.

By purchasing, you acknowledge that you have read and understand this release and are voluntarily agreeing to its terms.

6. Hold Harmless Agreement

You agree to hold harmless Club Mobile LLC DBA Win Mobile, its members, managers, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, losses, damages, judgments, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of or access to WINMO; (b) your violation of this Agreement; (c) any decision made in connection with digital content accessed through the membership; or (d) any misuse of digital content or mobile service benefits.

7. Indemnification

You agree to indemnify and defend Club Mobile LLC DBA Win Mobile and all affiliated parties against any third-party claims, damages, liabilities, or expenses arising from your use of the service, your violation of this Agreement, or your misuse of any digital content or mobile service benefits provided through the membership.

8. Subscription Cancellation Effects

If your WINMO membership is canceled, expires, or is terminated for any reason:

• Your license terminates at the end of the current billing period or immediately upon termination, whichever occurs first
• No prorated refunds or credits will be issued
• Mobile service benefits (if applicable) may transition to a standard paid plan through Club Mobile LLC
• Your phone number and service may remain active under applicable carrier terms

Cancellation does not create eligibility for any refund under any circumstances.

9. No Exceptions Policy

There are no exceptions to this Agreement, including but not limited to:

• Technical issues or user error
• Platform interruptions or outages
• Network or carrier issues
• Personal circumstances
• Failure to read or understand product descriptions or policies

10. Termination of License

Win Mobile may revoke or terminate your license immediately, without notice or refund, if you:

• Violate this Agreement
• Share or redistribute digital content
• Engage in abuse, misuse, or unauthorized activity
• Create legal, operational, or compliance risk for Win Mobile

Upon termination:

• All rights granted under this Agreement immediately cease
• You must immediately stop accessing and using all digital content

11. Chargeback & Payment Disputes

You agree not to initiate chargebacks or payment disputes for valid transactions. If a dispute is initiated:

• Your access may be immediately terminated
• Your account may be restricted or permanently banned
• You may be prohibited from future purchases

Win Mobile reserves the right to dispute all chargebacks using transaction records, access and usage logs, IP and device data, and records of your acceptance of this Agreement.

12. Intellectual Property Enforcement

All WINMO digital content is protected by applicable intellectual property laws. Unauthorized use, distribution, or reproduction may result in immediate termination, legal action, and claims for damages and injunctive relief.

13. Limitation of Liability

To the maximum extent permitted by law, Win Mobile and Club Mobile LLC shall not be liable for any financial losses, indirect, incidental, or consequential damages, lost profits or missed opportunities, decisions made based on WINMO digital content, or third-party service interruptions or telecom-related issues of any kind. Total liability, if any, shall be strictly limited to the amount paid for the current billing period.

14. Modifications to This Agreement

Win Mobile may update or modify this Agreement at any time without prior notice. Continued use of the service constitutes acceptance of the updated Agreement.
