End User License Agreement (EULA)

This End User License Agreement ("Agreement" or "EULA") is a legally binding agreement between you ("User" or "Member") and WINMO, a digital content membership offered by Club Mobile LLC DBA WINMO ("WINMO," "we," "us," or "our").

By purchasing, accessing, or using WINMO through Whop, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

1. License Grant (Limited – No Ownership)

Subject to your compliance with this Agreement, WINMO grants you a limited, non-exclusive, non-transferable, revocable license to access and use WINMO content for personal, non-commercial use only.

You acknowledge that:

  • This is a license to access content, not a sale of any product
  • No ownership rights are transferred to you
  • All content, materials, data, and intellectual property remain the exclusive property of WINMO and its licensors

2. Strict License Restrictions (No Sharing or Resale)

You may not, directly or indirectly:

  • Copy, reproduce, distribute, or resell WINMO content
  • Share login credentials or provide access to any third party
  • Record, scrape, screenshot, rebroadcast, or capture content for redistribution
  • Publish or display content publicly or commercially
  • Misrepresent WINMO or its services
  • Represent WINMO as a gambling, wagering, or betting platform
  • Use WINMO content to operate competing services or products
  • Attempt to reverse engineer, exploit, or misuse any part of the Service

Any unauthorized use constitutes a material breach and may result in immediate termination and legal action.

3. Digital Content Delivery & Final Sale

WINMO provides immediate access to digital content and membership benefits upon purchase.

By completing your purchase, you acknowledge that:

  • Access is delivered instantly
  • The license is deemed used and consumed immediately
  • All purchases are final and non-refundable

No refunds, returns, exchanges, credits, or adjustments will be provided under any circumstances, including:

  • Subscription fees
  • Partial billing periods
  • Unused time
  • Accidental or unintended purchases
  • Failure to cancel prior to renewal

4. Content Disclaimer (No Reliance / No Guarantees)

WINMO provides sports-related content, commentary, and insights for entertainment and informational purposes only.

You expressly acknowledge that:

  • Content is general commentary and opinion-based
  • Content is not guaranteed or predictive
  • Content is not intended to be relied upon for financial or wagering decisions
  • You assume all risk associated with any decisions you make

WINMO makes no representations or warranties regarding accuracy, performance, or results. Fees are charged solely for access to licensed content, not for outcomes or performance.

5. Subscription Cancellation Effects

If your WINMO subscription is canceled:

  • Your license terminates at the end of the current billing period
  • No prorated refunds or credits will be issued
  • Mobile service benefits (if applicable) may transition to a standard paid plan through Club Mobile
  • Your phone number and service may remain active under applicable carrier terms

Cancellation does not create eligibility for any refund.

6. No Exceptions Policy

There are no exceptions to this Agreement, including but not limited to:

  • Technical issues or user error
  • Platform interruptions or outages
  • Network or carrier issues
  • Personal circumstances
  • Failure to read or understand product descriptions or policies

7. Termination of License

WINMO may revoke or terminate your license immediately, without notice or refund, if you:

  • Violate this Agreement
  • Share or redistribute content
  • Engage in abuse, misuse, or unauthorized activity
  • Create legal, operational, or compliance risk

Upon termination:

  • All rights granted under this Agreement immediately cease
  • You must immediately stop accessing and using all content

8. Chargeback & Payment Disputes

You agree not to initiate chargebacks or disputes for valid transactions.

If a dispute occurs:

  • Your access may be immediately terminated
  • Your account may be restricted or permanently banned
  • You may be prohibited from future purchases

WINMO reserves the right to dispute all chargebacks using:

  • Transaction records
  • Access and usage logs
  • IP and device data
  • Records of acceptance of this Agreement

9. Intellectual Property Enforcement

All WINMO content is protected by applicable intellectual property laws. Unauthorized use, distribution, or reproduction may result in:

  • Immediate termination
  • Legal action
  • Claims for damages and injunctive relief

10. Limitation of Liability (Strict)

To the maximum extent permitted by law, WINMO and Club Mobile LLC shall not be liable for:

  • Any financial losses
  • Indirect, incidental, or consequential damages
  • Lost profits or missed opportunities
  • Decisions made based on WINMO content
  • Third-party service interruptions or telecom-related issues

Total liability, if any, shall be limited to the amount paid for the current billing period.

11. Modifications to This Agreement

WINMO may update or modify this Agreement at any time. Continued use of the Service constitutes acceptance of the updated Agreement.
